Terms of Service — Pass Studio

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and IDARDIRECT LLC ("Company", "we", "us"), governing your access to and use of the Pass Studio platform, including its website, APIs, and associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service in any way, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Pass Studio is a digital pass creation and distribution platform that allows users to design, publish, and distribute digital passes compatible with Apple Wallet and Google Wallet. Features include pass design tools, barcode generation, distribution management, and analytics.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@idardirect.com if you suspect any unauthorised access to your account.

4. Acceptable Use

You agree not to use the Service to:

Distribute passes containing false, misleading, or fraudulent content
Violate any applicable law, regulation, or third-party right
Infringe on any intellectual property rights of any party
Transmit malware, viruses, or other harmful code
Circumvent, disable, or interfere with security features of the Service
Resell, sublicense, or otherwise commercially exploit the Service without written permission
Use the Service for spamming or unsolicited mass distribution
Impersonate any person or entity

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

5. Intellectual Property

The Service, including all software, designs, text, graphics, and other content provided by IDARDIRECT LLC, is owned by or licensed to IDARDIRECT LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for its intended purpose.

You retain all ownership rights in the content you create and upload ("User Content"). By uploading User Content, you grant IDARDIRECT LLC a non-exclusive, worldwide, royalty-free licence to store, process, and display such content solely as necessary to provide the Service.

6. Third-Party Services

The Service integrates with third-party platforms including Apple Wallet and Google Wallet. Your use of passes on those platforms is subject to their respective terms of service. IDARDIRECT LLC is not responsible for the availability, accuracy, or policies of third-party services.

7. Payment and Billing

Certain features of the Service may require payment. Fees are stated at the time of purchase and are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We take data privacy seriously and do not sell your personal data to third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDARDIRECT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless IDARDIRECT LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us at info@idardirect.com. Provisions of these Terms that by their nature should survive termination will remain in effect.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email or by a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
